These Terms of Service govern your access to and use of the website, products, services, applications, consulting solutions, and digital platforms operated by Baakhapaa Digital Market Pvt. Ltd . By accessing or engaging with our services, you agree to be legally bound by these Terms.
If you do not agree with any provision contained herein, you must discontinue use of our services immediately.

Company refers to Baakhapaa, its directors, employees, contractors, and authorized representatives.
Client refers to any individual, business entity, organization, or institution engaging our services.
Services refer to application development, website development, UI UX consulting, graphic design, digital marketing, business consulting, outsourcing services, and related digital solutions.
Website refers to the official Baakhapaa website and associated digital platforms.

Baakhapaa provides technology and consulting services based on agreed proposals, contracts, or written communication. Deliverables, timelines, and pricing are governed strictly by signed agreements or approved quotations.
No service shall be considered confirmed unless mutually agreed in writing.

Clients agree to provide accurate information, timely feedback, required documentation, and approvals necessary for project execution.
Delays caused by client inaction, incomplete information, or third party dependencies shall not constitute breach by Baakhapaa.

All fees shall be paid according to the agreed payment schedule stated in the proposal or contract. Late payments may result in project suspension without liability to Baakhapaa.
All payments are non refundable unless explicitly stated in a signed agreement.
Taxes, duties, and regulatory fees applicable under Nepalese or international law remain the responsibility of the client unless otherwise specified.

Unless otherwise agreed in writing, intellectual property ownership shall transfer to the client only after full and final payment is received.
Baakhapaa retains the right to display completed work in its portfolio for promotional purposes unless restricted by written agreement.
Pre existing tools, frameworks, methodologies, and proprietary processes remain the intellectual property of Baakhapaa.

Both parties agree to maintain strict confidentiality of proprietary, technical, financial, and business information shared during engagement.
Confidentiality obligations shall survive termination of service.

Baakhapaa shall not be liable for indirect, incidental, consequential, special, or punitive damages including loss of profit, revenue, data, or business opportunities.
Total liability, under any circumstance, shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
We do not guarantee uninterrupted operation of websites, applications, hosting environments, third party integrations, or digital platforms.

Baakhapaa may integrate third party tools, APIs, hosting providers, advertising platforms, or software solutions. We are not responsible for failures, outages, policy changes, or data loss arising from third party services.

All services are provided on an as available and as performed basis.
We make no express or implied warranties regarding merchantability, fitness for particular purpose, uninterrupted service, or guaranteed business results.
Marketing and growth outcomes depend on market conditions, competition, client cooperation, and external factors beyond our control.

Either party may terminate services with written notice as per contractual terms.
Upon termination, client shall pay for all completed work and approved milestones up to the termination date.

These Terms shall be governed by and construed in accordance with the laws of Nepal.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Nepal unless otherwise contractually agreed.

Baakhapaa reserves the right to modify these Terms at any time. Updated Terms shall be posted on the website and continued use constitutes acceptance.
